6:00-9:00 p.m. Dinner & Participant Introductions
All participants will have three minutes to introduce themselves, share their personal work in corporate redesign, and explain why they're drawn to this approach. THIS DINNER IS AN INTEGRAL PART OF THE EVENT -- IT'S IMPORTANT THAT EVERYONE ATTEND.
Dinner Discussion: For corporations to fundamentally transform, change must occur both inside (in ownership and governance) and outside (in institutions of countervailing power). What is the proper balance of internal vs. external change? Do these approaches conflict strategically?

Welcome and review of last year, overview of agenda.
9:00-10:00 a.m. Framing: Major Intellectual Avenues
What are the major intellectual avenues for fundamentally changing how we think of corporations in law? Eg. Challenging shareholder primacy, changing corporate purpose, corporations as public rather than private, etc. Discussion led by Dana Gold.
10:00-10:15 Break
10:15-12:00 Internal Reform: Best Approaches
A brief review of current legislative efforts (MN, HI, MA) and other proposals to change fiduciary duties and board structures. Discussion: Are these approaches viable? What legal strategies would be most transformative and viable in affecting internal transformation of the dominant model of corporate law and governance? Led by Marjorie Kelly.

1:00-2:45 External Reform: Best Approaches
A brief review of current strategies employed by activists fighting corporate abuses. Discussion: What legal approaches can best reframe those efforts away from symptom-based strategies to a new paradigm where societal interests are prioritized and citizens have power? Led by Charlie Cray.

3:00-4:00 Drawing the Roadmap: First Draft
Drawing on our discussions, do we have a sense of the legal roadmap we can imagine? A group effort to chart a compelling, workable roadmap for how law contributes to corporate transformation.
4:00-4:30 Next Steps
Taking this work forward with the new Corporate Law Reform Project. How do we continue working together? Working groups? Web communication? Next meeting?
